By accessing our website or engaging Hecht Momentum ("Company," "we," "us," or "our") for services, you ("Client" or "you") agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our website or services.
These Terms apply to all visitors, clients, and others who access or use our services. They are subject to change at our discretion, and your continued use of our services after any changes constitutes acceptance of the updated terms.
Hecht Momentum provides digital advertising and marketing services including but not limited to: paid social media advertising (Facebook, Instagram, TikTok), Google Ads management, ad creative and copy, tracking setup, landing page design, website builds, and related digital marketing services.
The specific scope of services, deliverables, timelines, and pricing for each engagement will be outlined in a separate Service Agreement or proposal provided to the Client prior to engagement.
To enable us to deliver services effectively, you agree to:
Payment terms are defined in your individual service agreement. Generally:
Client-Owned Assets: Any content, images, logos, or materials provided by you remain your property.
Agency-Created Work: Upon full payment, ad copy, creative concepts, and deliverables created specifically for your campaigns become your property for use in your business. However, Hecht Momentum retains the right to use anonymized performance data, general campaign strategies, and non-proprietary work as part of our internal knowledge base.
Portfolio Use: We may reference our work with you in our portfolio, case studies, or marketing materials (e.g., "we ran ads for a San Antonio detailing business") without disclosing confidential business data, unless you request otherwise in writing.
Agency Tools & Frameworks: Proprietary systems, templates, processes, and frameworks used by Hecht Momentum in delivering services remain our intellectual property.
Both parties agree to keep confidential any non-public business information shared during the engagement. This includes business financials, ad account data, customer data, and strategic plans. This obligation survives the termination of the service relationship.
Our services involve advertising on third-party platforms (Meta, Google, etc.). You acknowledge that:
Advertising results depend on many factors outside our control, including market conditions, competition, ad spend levels, creative performance, and platform algorithms. While we are committed to achieving the best possible results, Hecht Momentum does not guarantee specific outcomes such as a defined ROAS, number of leads, revenue figures, or cost per acquisition.
Past results for other clients are illustrative and not a guarantee of similar results for your business.
By Client: You may terminate services with 30 days' written notice. Any fees paid for the current billing period are non-refundable.
By Hecht Momentum: We reserve the right to terminate services immediately if a client engages in conduct that violates these Terms, platform policies, or applicable laws, or if payment is not received within 15 days of the due date.
Upon termination, we will return access to any client-owned accounts and assets within 5 business days.
To the maximum extent permitted by law, Hecht Momentum's total liability to you for any claim arising from or related to our services shall not exceed the total fees paid by you in the three (3) months immediately preceding the claim.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or business interruption — even if we have been advised of the possibility of such damages.
You agree to indemnify and hold harmless Hecht Momentum, its founders, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Bexar County, Texas.
Before initiating any legal action, both parties agree to attempt to resolve disputes through good-faith negotiation. If a resolution cannot be reached within 30 days of written notice of the dispute, either party may pursue legal remedies.
These Terms, together with any executed Service Agreement or proposal, constitute the entire agreement between you and Hecht Momentum regarding our services. They supersede all prior discussions, representations, or agreements.
